Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and BidVoice LLC, a Washington limited liability company (“BidVoice,” “we,” “us,” or “our”), governing your access to and use of the BidVoice website, applications, and services, including Eden, our AI assistant (together, the “Service”). By creating an account, clicking “I agree,” or using the Service, you accept these Terms. If you do not agree, do not use the Service.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and, if using it on behalf of a business, that you are authorized to bind that business.
Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We are not liable for losses arising from your failure to safeguard your credentials.
The Service; role of BidVoice
BidVoice provides a platform that helps homeowners and contractors connect, manage project information, request and respond to bids, and communicate. BidVoice is a neutral venue. We are not a party to any agreement between homeowners and contractors, do not perform contracting work, do not guarantee the quality, legality, or completion of any work, and do not verify the accuracy of user representations except as expressly stated.
Your content and license
The Service allows you to upload, submit, and store content, including customer lists, contact information, photographs, project descriptions, messages, and other materials (“User Content”). You retain ownership of your User Content. You grant BidVoice a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display User Content solely to operate, provide, secure, and improve the Service. You represent and warrant that you own or have all necessary rights to your User Content and its use on the Service, including any consents required to share another person’s personal information, and that your User Content does not violate any law or any third party’s intellectual property, privacy, or other rights.
Acceptable use
You agree not to: (a) upload content you lack the right to share; (b) infringe intellectual property or privacy rights; (c) upload unlawful, defamatory, harassing, or fraudulent content; (d) misuse another user’s data, including contacting or soliciting users outside the relationship for which access was granted; (e) attempt to access data or accounts that are not yours; (f) probe, scan, or breach security; (g) introduce malware; (h) scrape or harvest data except as expressly permitted; or (i) use the Service to violate any law. User content liability
BidVoice does not create, endorse, or assume responsibility for User Content. You are solely responsible for your User Content and for your interactions and transactions with other users. BidVoice is not responsible for the conduct of any user, on or off the Service, and disclaims liability arising from User Content or user interactions to the fullest extent permitted by law.
Copyright and DMCA takedown
BidVoice respects intellectual property rights and responds to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512, and terminates repeat infringers in appropriate circumstances. To submit a notice, send our Designated Agent a written notice including: (a) your signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and where it is located on the Service; (d) your name, address, phone, and email; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner. If your content was removed in error, you may submit a counter-notification under 17 U.S.C. § 512(g).
Fees, payments, and subscriptions
Paid features are billed through our third-party payment processor (e.g., Stripe). By purchasing, you authorize the applicable charges and agree to the pricing and billing terms presented at purchase. Except as required by law or as expressly stated, fees are non-refundable. We may change pricing prospectively with notice. Subscriptions that auto-renew will be disclosed as such, with a means to cancel.
Third-party services
The Service integrates third-party services (for example, payment processing, email delivery, and AI providers). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.
AI-assisted features
Certain features use artificial intelligence to generate suggestions, summaries, prices, or other output. AI output may be inaccurate or incomplete and is provided for convenience only. You are responsible for reviewing AI-assisted output before relying on it — including every estimate, quantity, price, proposal, and message before it is sent. We do not warrant that AI output is accurate, complete, or suitable for any particular purpose.
Intellectual property of BidVoice
The Service, including its software, design, trademarks, and content (excluding User Content), is owned by BidVoice or its licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
Termination
You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, for any violation of these Terms or to protect the Service or other users. Upon termination, the license granted to you ends. Sections that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnity, and dispute resolution — survive termination.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BIDVOICE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BIDVOICE AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE. BIDVOICE’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID BIDVOICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).
Indemnification
You agree to indemnify and hold harmless BidVoice and its members, managers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
Dispute resolution
Before filing a claim, you and BidVoice agree to try to resolve the dispute informally by contacting the other party in writing and allowing 30 days to reach a resolution. Formal dispute-resolution terms (including any arbitration and class-action provisions) are being finalized with counsel and will be posted here before they take effect.
Governing law and venue
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles. The state and federal courts located in King County, Washington have exclusive jurisdiction over disputes not otherwise resolved.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new effective date or notifying you in the Service). Your continued use after changes take effect constitutes acceptance.
Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and BidVoice regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be provided through the Service or by email.
